Scope and Application
These Terms of Business set out the basis on which One Success Group will provide services to clients. They apply to all engagements unless otherwise agreed in writing between the parties. In the event of a conflict between these terms and any written proposal or engagement letter, the terms in the written engagement document will prevail.
Our Services
We provide accounting, taxation, company secretarial and related business support services in Hong Kong. The specific scope of services for each client will be determined by the engagement letter, proposal, or written instructions we agree to provide. We will perform services in line with the agreed scope, applicable standards and professional practice.
Client Instructions and Authority
We will act on the instructions of the client or their authorised representatives. Clients are responsible for ensuring that any instructions given to us are clear, complete and authorised. We may rely on such instructions unless we have reason to believe they are inaccurate, incomplete or not properly authorised.
Client Information and Responsibilities
The client is responsible for providing accurate, complete and timely information, documents, records and approvals necessary for the services. Delays in providing information may affect service timelines and costs. We may request information or clarification where required to fulfil our responsibilities or to meet legal or regulatory obligations.
KYC / CDD / AML Requirements
In line with applicable legal and professional requirements, we may request customer due diligence, identity verification, source of funds information, or other supporting documents before or during the provision of services. Failure to provide required information may result in delays, suspension of service, or refusal to proceed with a matter.
Fees and Payment
Fees for our services will be communicated in writing before work begins or in accordance with the agreed engagement letter. Payment terms, billing cycles and any deposits or mandatory fees will be set out in the relevant proposal or invoice. Late payment may result in interest, suspension of service or withdrawal from the engagement.
Government and Third-Party Fees
Any government filings, registration, licensing, stamp duties, tax charges, third-party costs or other fees imposed by authorities or service providers are additional to our professional fees unless expressly stated otherwise. We may require advance payment or reimbursement before such fees are paid on your behalf.
Service Timelines
Service deadlines are estimates and depend on the timely receipt of the necessary information, approvals and supporting documents. We will make reasonable efforts to meet agreed deadlines, but we cannot guarantee specific completion dates where there are delays outside our control or where instructions are incomplete.
Communications
We will communicate with clients by email, phone, in writing or through approved client portals where applicable. Clients are responsible for ensuring that communications are received and that contact details remain current. We may assume that instructions sent from an authorised contact are valid.
Confidentiality and Data Protection
We will treat client information as confidential and will use reasonable care to protect it in accordance with our privacy policy and applicable law. Information may be disclosed where required by law, professional standards, court order or the explicit instructions of the client.
Reliance on Client Information
We may rely on information provided by the client or their authorised representatives without independent verification unless we have agreed to conduct additional checks or due diligence. We are not responsible for errors or omissions in information that we reasonably rely on in good faith.
Professional Advice and Scope Limitations
Our services are provided in accordance with the agreed scope and professional standards applicable to the engagement. We do not provide legal advice unless expressly engaged to do so, and we do not assume responsibility for decisions taken by the client on the basis of our services without independent professional advice where appropriate.
Suspension or Termination of Services
We may suspend or terminate services if the client fails to pay fees, fails to provide necessary information, fails to meet legal or regulatory requirements, or if the engagement becomes impractical or inappropriate. Any outstanding fees will remain due for services performed up to the date of suspension or termination.
Liability
Our liability to the client in connection with our services is limited to the extent permitted by applicable law and any agreed engagement terms. We shall not be liable for consequential, special, indirect or punitive damages, including loss of business, reputational harm or similar losses, unless such exclusion is prohibited by law.
Complaints
If you are dissatisfied with any aspect of our services, please raise the concern with us promptly so that we can consider the matter and seek to resolve it fairly and efficiently. We will review complaints in accordance with our internal procedures and applicable professional standards.
Governing Law and Jurisdiction
These Terms of Business are governed by and interpreted in accordance with the laws of Hong Kong. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, unless otherwise required by law.
